Terms & Conditions

Last updated: 10 October 2026

These terms apply when you use marketingninza.com, book a call or audit with us, or buy our services. By using this website or our services, you agree to them. If you don’t agree, please don’t use the website or our services.

1. Who we are

“MarketingNinza”, “we”, “us” and “our” mean MarketingNinza, Laxminarayan Apartment, Kolkata 700093, West Bengal, India. You can reach us at contact@marketingninza.com or +91 70294 41319. “You” means the person using this website or the business buying our services.

2. Using this website

  • You may use this website to learn about our services and to contact us.
  • You must not misuse it: no attempts to break in, overload it, spread malware, scrape it in bulk, or use it for anything unlawful.
  • We may change, pause or remove any part of the website at any time, without notice.

3. Information on this website

Content on this website, including articles, guides and examples, is general information about marketing. It is not advice for your specific business, and you should not rely on it as such.

Results we describe are real outcomes from past client work, measured as stated. They are not a promise or prediction of the results you will get. Every market, offer, budget and sales process is different.

4. Free pipeline audits and calls

  • Free audits and calls carry no obligation to buy anything.
  • To run an audit, we may ask for view access to your ad accounts, analytics or CRM. Give only the access you’re comfortable with; you can remove it at any time, and we will not make changes in your accounts during an audit.
  • What you share during an audit is treated as confidential (see section 11).
  • An audit summary is our professional opinion based on the information available at the time. Whether and how you act on it is your decision.
  • We may decline an audit or engagement, for example where we don’t think we can help.

5. Our services

Our services include Google Ads and LinkedIn Ads management, B2B SEO, generative engine optimization (GEO), conversion tracking and CRM setup, website and landing page work, and personal branding for founders.

The exact scope, deliverables, fees and timelines for each engagement are set out in a written proposal or agreement that you accept, by signature, email or first payment. These terms apply to every engagement. If the proposal or agreement says something different, the proposal or agreement wins for that engagement.

Work outside the agreed scope is quoted separately before we start it.

6. Fees and payment

  • Fees are as stated in your proposal or agreement. Unless it says otherwise, fees are in Indian rupees and GST is added as applicable.
  • Monthly fees are invoiced at the start of each month and are due within 7 days of the invoice date.
  • Ad spend is separate. You pay Google, LinkedIn or any other platform directly, on your own payment method, in your own account. Our fee never includes ad spend unless the proposal clearly says so.
  • If an invoice is unpaid 15 days after its due date, we may pause work until it is paid. Pausing doesn’t change what is owed.
  • Fees already paid are not refundable for work already done.

7. Minimum term and cancellation

  • Ongoing services have a minimum term of three months from the start date, because B2B lead quality needs that long to judge fairly. Your proposal may set a different term.
  • After the minimum term, ongoing services continue month to month. Either side can end them with 30 days’ written notice by email.
  • One-off projects end when the agreed deliverables are complete.
  • Either side can end an engagement immediately by written notice if the other seriously breaches these terms or the agreement and doesn’t fix the breach within 15 days of being asked to.
  • When an engagement ends, you pay for work done up to the end date, and we hand over everything listed in section 10 and remove our access to your accounts when you ask.

8. What we need from you

  • Access to the accounts and tools needed for the work, in your own name.
  • Timely answers, feedback and approvals. Delays on your side can delay results and deadlines, and don’t pause fees.
  • Accurate information about your business, products, prices and claims. You are responsible for making sure your products, offers and claims are lawful and true, and for meeting the rules of your industry.
  • Someone to follow up leads promptly. Lead quality and conversion depend heavily on how fast and how well leads are handled.
  • For personal branding: time for interviews and approval of everything published under your name. Nothing is published without your approval, and you remain responsible for what you approve.

9. Results and third-party platforms

We commit to doing skilled, honest work and to reporting on it openly. We do not guarantee specific results, including numbers of leads, meetings, sales, rankings, AI tool mentions, or articles and podcast appearances. Editors, platforms and buyers make their own decisions.

Google, LinkedIn, Meta, AI tools and other platforms control their own systems, prices, policies and algorithms, and change them without notice. We are not responsible for their decisions, including ad disapprovals, account suspensions, ranking changes or outages, though we will help you respond to them.

10. Ownership

  • Your accounts and data stay yours. Ad accounts, analytics, CRM and website are set up in your name. You can remove our access at any time.
  • Deliverables are yours once paid. Ad copy, landing pages, articles, posts and other work we create specifically for you belong to you once you have paid the related fees in full.
  • Our know-how stays ours. Our methods, processes, templates, internal tools and general know-how remain ours, including improvements we make while working with you. We may reuse general learnings, but never your confidential information.
  • Content you give us. You confirm that you have the right to the material you give us, such as logos, images and text, and allow us to use it to deliver the services.

11. Confidentiality

Each side will keep the other’s confidential information private and use it only for the engagement. This includes business plans, results, client lists, account data and pricing. This doesn’t apply to information that is already public, independently developed, or required to be disclosed by law. This duty continues after the engagement ends.

We do not name clients publicly or publish identifiable results without written permission. We may share anonymised results that don’t identify you.

12. Personal data

How we handle personal data collected through this website is explained in our Privacy Policy. When we access personal data inside your accounts while working for you, we process it only to deliver the services, on your instructions, and keep it confidential and secure. You are responsible for having a lawful basis to collect that data and to share it with us.

13. Third-party tools and links

This website and our services use third-party tools such as Calendly, Google and LinkedIn. Their own terms and privacy policies apply when you use them. Links to other websites are for convenience; we don’t control or endorse their content.

14. Limitation of liability

  • Nothing in these terms limits liability that cannot be limited by law, such as liability for fraud.
  • Neither side is liable for indirect or consequential losses, or for loss of profit, revenue, business or goodwill.
  • Our total liability for any claim relating to an engagement is limited to the fees you paid us for that engagement in the three months before the claim arose.
  • We are not liable for losses caused by third-party platforms (section 9), by delays or inaccurate information on your side, or by events outside reasonable control, such as outages, natural disasters or changes in law.

15. Indemnity

You agree to cover our reasonable losses and costs if a third party makes a claim against us because of your products, your claims or offers, or material you gave us to use.

16. Governing law and disputes

These terms are governed by the laws of India. If a dispute arises, we will first try to resolve it by talking in good faith. If that fails within 30 days, the courts in Kolkata, West Bengal have exclusive jurisdiction.

17. Changes to these terms

We may update these terms from time to time. The version on this page, with the date at the top, applies to use of the website from that date. For ongoing engagements, changes apply from your next billing month, and we will tell you about significant changes by email beforehand.

18. General

  • If any part of these terms is found unenforceable, the rest still applies.
  • Not enforcing a right straight away doesn’t mean giving it up.
  • Neither side may transfer an engagement to someone else without the other’s written agreement, except as part of a merger or sale of the business.
  • Notices under these terms can be given by email to the addresses each side uses for the engagement.

19. Contact

Questions about these terms: contact@marketingninza.com or +91 70294 41319.
